Please read these terms and conditions carefully before using Una

Definitions

“Person” includes a natural person, corporate or unincorporated body and their personal representatives, successors and permitted assignees or assignors.

“Una” means the software platform, website (including una.expectai.com), applications, APIs and any related tools or digital assets we make available, as well as any pages, accounts, or content we publish or operate on third-party sites.

“Services” means the online services we provide through Una, including AI features, analytics, workflows, automations and any related capabilities.

“Terms” means these Terms of Use, along with our Privacy Policy, Acceptable Use Policy, Cookies Policy, Fair Usage Policy, and any additional policies or amendments we introduce from time to time.

“We”, “us” or “our” refers to Expect AI Ltd, a company registered in England & Wales under company number 13731947, with its registered office at 1st Floor, 39–40 St James’s Place, London, England, SW1A 1NS.

“You” or “your” refers to you, any entity or organisation you work for, or any person acting on your behalf. This extends to any subsidiary or holding company as defined under section 1159 of the Companies Act 2006, or any subsidiary and parent undertaking as defined under section 1162 of the Companies Act 2006.

Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular.

Introduction

Terms of Service Agreement ("Agreement") outlines the conditions under which you ("you" or "User") access and utilise our climate data platform, our website (https://www.expectai.com/) and associated services (collectively, the "Service") offered by  Expect AI Ltd.("we," "us," or "our"). By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by all terms and conditions in this Agreement. If you disagree with any part of this Agreement, you may not access or use the Service.

We have developed the services which we make available through Una for the purpose of helping small and medium-sized enterprises (“SMEs”) measure, manage and optimise their greenhouse-gas emissions, reduce costs, and unlock new growth opportunities in a data-driven and sustainable way. Una integrates proprietary AI models, data-validation algorithms, audit-ready carbon profiles, peer benchmarking and ecosystem analytics to support your commercial, operational and sustainability workflows.

Unless stated otherwise, you must purchase a subscription to access the full functionality of Una. To access such subscription, you will be required to provide an accepted method of payment for the applicable subscription fees, which may include processing through a third-party payment provider.

However, there may be portions of Una which are available on a free, limited or anonymous basis without charge or subscription. We will determine the scope of such free or limited usage at our sole discretion from time to time.

We may also offer one-off products, reports, outputs or features through Una without a subscription. In such instances, you will be asked to provide the necessary payment information and may be subject to separate terms for those specific products or features.

Subscriptions

Your subscription grants you access to the Services we provide through Una in accordance with the plan you select (“Subscription Services”). Unless otherwise stated, subscriptions automatically renew for successive billing periods until cancelled.

You will be charged the subscription fee (as published on our site or agreed in writing) in advance on the first day of each billing period. Your access to the Subscription Services is conditional on payment of the applicable fee, and if the payment method you provide fails or the payment is declined, we may suspend or terminate your subscription.

You may cancel your subscription at any time by notifying us in accordance with the “Notices” section of these Terms. Your cancellation will take effect at the end of the then-current billing period, and no further subscription fees will be payable thereafter.

We may from time to time introduce new subscription plans, pricing, features or tiers, or change the content or functionality of Subscription Services. Any changes to your plan or pricing will either (i) be notified to you in advance and you will have the opportunity to cancel before the changes take effect, or (ii) apply from your next renewal period.

All subscription usage is subject to our Fair Usage Policy. The subscription plan you select does not permit roll-over of unused usage quotas from one billing period into the next unless expressly stated.

Una is owned and operated by ExpectAI Ltd (“we”, “us” or “our”). ExpectAI Ltd is a company registered in England & Wales under company number 13731947, and its registered office is at 1st Floor, 39-40 St James’s Place, London, England, SW1A 1NS. By Using Our Platform You Accept These Terms

By accessing or using Una, you confirm that you accept these Terms and that you agree to comply with them.

Terms Will Also Apply To You

In addition to these Terms of Use, the following policies shall also apply to your use of Una:

  • Our Privacy Policy, which sets out the terms on which we process any personal data we collect from you or that you provide to us. This includes information about cookies used on Una. By using Una, you consent to such processing and you warrant that all data provided by you is accurate.
  • Our Acceptable Use Policy, which sets out the permitted uses and prohibited uses of Una. When using Una, you shall comply with this Acceptable Use Policy.
  • Our Cookies Policy, which sets out the manner in which we use cookies on Una. By using Una, you accept our Cookies Policy.
  • Our Fair Usage Policy, which sets out and determines normal usage versus excessive usage. Excessive usage may require additional fees or a revised subscription.

If you wish to access, integrate with, or otherwise use certain features within Una that enable collaboration, sharing, or interaction with other users or third-party services, you may be required to agree to additional terms and conditions, which may include additional fees or usage restrictions.

We may introduce new and/or additional terms or policies from time to time which will also apply to your use of Una.

We My May Make Changes To These Terms

We may amend the Terms from time to time and upload the latest version on Una. We recommend that you check the Terms and applicable policies regularly on Una to ensure that you understand the terms that apply at the time of use.

We My May Make Changes To Una

We may update and change Una from time to time to reflect changes to any of our Services, changes in the content or data available from our suppliers or partners, our users’ needs, regulatory requirements, and our business priorities.

We My May Suspend or Withdraw Una

We do not guarantee that Una, or any content on it, will always be available or be uninterrupted (for example, when we need to make changes or perform maintenance). You agree that we may suspend, withdraw, or restrict the availability of all or any part of Una for business, operational, regulatory, or security reasons.

You are responsible for ensuring that all persons who access Una through your internet connection or account are aware of these Terms and any other applicable terms and conditions, and that they comply with them.

We Will Provide Support

In the event of any issues with accessing the Services caused by a fault with Una, you shall contact the Una support team for assistance at una@expectai.com or via any applicable support channels made available to you.

We Are Based In The United Kingdom

We do not represent that the content available on or through Una is appropriate for use or available in locations outside the United Kingdom. When using Una, it is your responsibility to ensure that your use complies with any applicable laws and regulations in the jurisdiction in which you access or use the Services.

We May Transfer This Agreement To Someone Else

We may transfer our rights and obligations under these Terms to another organisation. We will always notify you in writing if this happens, and we will ensure that any such transfer does not materially affect your rights under the contract.

You Must Keep Your Account Details Safe

If you choose, or you are provided with, a user identification code, password, API key, or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code, password, or access credential, whether chosen by you or allocated by us, at any time if, in our reasonable opinion, you have failed to comply with any of the provisions of these Terms.

If you know or suspect that anyone other than you knows your user identification code, password, or access credentials, you must promptly notify us at una@expectai.com

How You May Use The Material On Una

You acknowledge that we are the owners or the licensee of all intellectual property rights subsisting in the Services provided through Una. Your use of the Services does not grant you any database rights, copyright, trademarks, trade secrets, or any other intellectual property rights (whether registrable or not).

We grant you a revocable, non-transferable and non-sublicensable right to access Una and use the Services made available to your account for internal business use only. You shall not resell, distribute, publish, or otherwise commercially exploit any content or outputs made available on Una.

The above licence is personal to you and is not transferable or sub-licensable to any other person.

You must not modify the paper or digital copies of any materials you have printed or downloaded from Una in any way without our prior written consent, and you must not use any illustrations, diagrams, results, AI-generated content, video or audio sequences, or graphics separately from any accompanying text or attribution.

Further, you agree that:

  1. You shall access content relating to the Subscription Services via Una only.
  2. You shall not sell, transfer, license, distribute or commercially exploit our content or otherwise make it available to any third party.
  3. You shall not authorise any unlawful, unauthorised or automated access to the content on Una by any other party.
  4. You shall provide us with such assistance as we may reasonably require to ensure compliance with these Terms.
  5. You shall comply with all laws and regulations applicable to these Terms and to the rights granted to you under them.

Our status (and that of any identified contributors or data providers) as the authors or licensors of content available through Una must always be acknowledged.

Do Not Rely On the Content On Una

All content provided through Una - including (but not limited to) data, analytics, insights, estimates, calculations, forecasts, AI-generated content, emissions metrics, cost-saving indicators, benchmarking outputs, and any other materials -  is provided for general information and internal business use purposes only.

We obtain content from a range of sources, which may include third-party data providers, publicly available datasets, information supplied by you, or our own models and processing systems. We do not guarantee that any content is accurate, complete, true, reliable, free from bias, current, or suitable for any particular purpose.

Any scores, ratings, estimations, classifications, or analytics generated or displayed through Una - including sustainability indicators, emissions profiles, carbon calculations, cost-reduction estimates, opportunity assessments, or any other output - are provided solely for internal use, and are not intended to constitute advice of any kind (including but not limited to financial, legal, regulatory, technical, accounting, environmental, or compliance advice).

You acknowledge and accept that:

  • Una does not provide professional advice;
  • You must conduct your own independent checks, assessments, and verifications;
  • You should not rely on Una as a substitute for professional advice; and
  • You are solely responsible for evaluating the accuracy and appropriateness of any content or outputs before relying on them for decision-making.

We strongly recommend that you obtain your own professional, expert, or specialist advice before taking, or refraining from taking, any action based on content or insights provided by Una.

To the fullest extent permitted by law, neither we nor our suppliers accept any liability for any content or outputs generated or displayed through Una, and we shall not be liable to you for any damages, losses, claims, liabilities, or costs suffered or incurred as a result of your use of, or reliance on, any such content.

Nothing in this section seeks to exclude or limit liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

We Are Not Responsible For Website We Link To

Where Una contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or of any information you may obtain from them. We have no control over the contents of those sites or resources. We shall not be liable for any loss caused to you through such sites.

Our Responsibility For Loss Or Damage Suffered By You

We do not exclude or limit in any way our liability for death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors, or for fraud or fraudulent misrepresentation.

If you are a business user, i.e. you use Una for business purposes, then:

  • We exclude all implied conditions, warranties, representations or other terms that may apply to Una or any content on it.
  • We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
    (i) use of, or inability to use, Una; or
    (ii) use of or reliance on any content displayed on Una.
  • In particular, we will not be liable for:
    (i) loss of profits, sales, business or revenue;
    (ii) business interruption;
    (iii) loss of anticipated savings;
    (iv) loss of business opportunity, goodwill or reputation; or
    (v) any indirect or consequential loss or damage.
  • Our liability for any valid claim shall be limited to a sum equal to the total subscription fees you have paid to us to date.

If you are a consumer user, i.e. you use Una for private use only, then:

  • We provide Una for domestic and private use. You agree not to use Una for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  • If Una damages a device or digital content belonging to you and this is solely caused by our failure to use reasonable care and skill, we will repair the damage.

However, our liability will remain strictly subject to a continuing duty on your part to mitigate damages as far as possible.

We will not be liable for damage that could have been avoided by following our advice to apply any updates offered to you free of charge, or for damage caused by your failure to have in place the minimum system requirements needed to use the Services.

Nothing in these Terms is intended to exclude or limit any statutory rights you may have as a consumer that cannot be excluded or limited under applicable law.

Uploading Content To Una

Whenever you use a feature on Una that allows you to upload, submit, input, or otherwise provide content, data, or materials (“User Content”), you must comply with the content standards set out in our Acceptable Use Policy.

You warrant that any User Content you upload to Una, and any communications you initiate through Una, comply with the standards in our Acceptable Use Policy and all applicable laws. You will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty, including (without limitation) any claim brought against us by a third party alleging that User Content infringes their rights or is unlawful.

You remain the owner of your User Content. However, by uploading or submitting User Content to Una, you grant us a worldwide, irrevocable (for the duration of any applicable rights), non-exclusive, royalty-free, transferable licence (with the right to sub-license to our service providers and partners) to:

  • host, store, copy, display and otherwise use the User Content as necessary to provide, operate, secure and maintain the Services;
  • process, analyse and use the User Content to maintain, improve and develop Una and related products and services (including training, testing and improving models and algorithms), in each case in accordance with our Privacy Policy and applicable data protection laws; and
  • create and use aggregated, anonymised or de-identified data derived from the User Content for analytics, benchmarking, research and product development, provided that such data does not identify you or any individual.

We also have the right to disclose your identity to any third party who is claiming that any User Content posted or uploaded by you to Una constitutes a violation of their intellectual property rights, privacy rights or other legal rights, where we are permitted or required to do so by law.

We have the right (but not the obligation) to remove any User Content you post or upload onto Una if, in our opinion, your content does not comply with these Terms, our Acceptable Use Policy, or any applicable law, or if we consider it to be harmful, inappropriate, misleading or otherwise objectionable.

You are solely responsible for securing and backing up your User Content. We do not guarantee that your User Content will be available on Una and we may remove or delete User Content in accordance with these Terms and our policies.

Nothing in this section affects our obligations with respect to personal data, which are set out in our Privacy Policy and applicable data protection laws.

We Are Not Responsible For Viruses And You Must Not Introduce Them

We do not guarantee that Una will be secure or free from bugs, viruses, or other technologically harmful material that may infect your systems.

You are responsible for configuring your information technology, computer programmes, and platform in order to access Una. You should use your own virus protection and cybersecurity software.

You must not misuse Una by knowingly introducing viruses, trojans, worms, logic bombs or any other material that is malicious or technologically harmful.

You must not attempt to gain unauthorised access to Una, the server on which Una is stored, or any server, computer or database connected to Una.


You must not attack Una via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you may commit a criminal offence under applicable cybersecurity laws, including the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them.

In the event of such a breach, your right to use Una will cease immediately.

Rules About Linking To Una

You may link to the una.expectai.com homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must immediately remove any link to the homepage as soon as we demand that you do so. We do not need to give you any reason or justification for doing so.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link to Una in any website that is not owned by you.

Una must not be framed on any other site, nor may you create a link to any part of Una other than the homepage. We reserve the right to withdraw linking permission without notice.

The website from which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy.

If you wish to link to or make any use of content on Una other than that set out above, please contact una@expectai.com.

Ensuring Data Protection

You shall comply with all aspects of the UK General Data Protection Regulation, the Data Protection Act 2018, and any successor, supplemental or replacement legislation (“Data Protection Legislation”) at all times.

You are responsible for establishing a lawful basis for processing any personal data obtained, entered, uploaded, or generated as a result of your access to, or use of, the Services, and for maintaining compliance with the Data Protection Legislation in connection with such data.

You acknowledge that accessing or submitting personal data through the Services is only permitted where you have a lawful basis for doing so.

You acknowledge and agree that it is your duty to record and demonstrate the existence of a lawful basis for processing and to comply with all obligations placed on data controllers under the Data Protection Legislation.

If a monitoring, automation, or notification feature is made available as part of the Services, and you use such a feature, then you will be informed when relevant changes occur in the data being monitored. However, you shall stop using any such feature when you cease to have a lawful basis for processing the monitored data.

You represent and warrant to us that you maintain appropriate technical and organisational measures to protect any personal data obtained from the Service and to prevent accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to, such data. You shall provide us with details of such measures upon request.

You shall not transfer any personal data obtained via Una outside the United Kingdom or the European Economic Area unless the party receiving the data:

(i) complies with the provisions of Articles 26 of the UK/EEA GDPR (in the event the receiving party is a joint controller); and

(ii) ensures that:
• the transfer is to a country approved as providing adequate protection under Article 45 of the UK GDPR or EU GDPR (as applicable); or
• there are appropriate safeguards in place pursuant to Article 46 of the UK GDPR or EU GDPR (as applicable), including standard contractual clauses, international data transfer agreements, or appropriate transfer risk assessments; or
• one of the derogations for specific situations in Article 49 of the UK GDPR or EU GDPR applies to the transfer.

You will notify us without undue delay upon becoming aware of any security breach affecting personal data obtained through the Services, in accordance with the requirements of the Data Protection Legislation.

Where you provide us with personal data to enable us or our third-party suppliers to provide the Services, you warrant that you have a lawful basis for doing so, that you have all necessary notices in place, and (where required) that you have obtained all necessary consents to enable the lawful transfer and processing of such data. You further warrant that you have complied with the transparency requirements set out in Articles 13 and 14 of the UK GDPR or EU GDPR (as applicable).

If any provision under this section is or becomes inconsistent with the Data Protection Legislation, we may adapt, update, amend or delete the relevant provision as necessary to ensure compliance.

In the event that any personal data is transferred from the United Kingdom or the EEA to a country outside those territories pursuant to these Terms, you acknowledge and agree that the International Data Transfer Agreement (IDTA), the Addendum to the EU Standard Contractual Clauses, or the applicable set of EU Standard Contractual Clauses (as relevant) shall apply to such transfers. The data exporter shall be the party located in the UK or EEA, and the data importer shall be the party located outside the UK or EEA.

In the event the Information Commissioner’s Office (ICO) or European Commission updates, modifies or replaces any applicable transfer mechanism, we reserve the right to replace the applicable transfer mechanism with the updated or new version at our discretion.

In the event of any conflict between this section and our Privacy Policy, this section shall prevail.

Confidentiality

You undertake that you will keep all information you receive through Una confidential, and that you will not disclose to any person any information concerning the business, affairs, customers, clients or suppliers of any user, except as follows:

  • You may disclose such information to your employees, officers, representatives or advisers who need to know such information for the purposes of carrying out your obligations under these Terms. You will procure that your employees, officers, representatives or advisers to whom you disclose the information comply with the terms under this heading.
  • You may disclose such information as may be required by law, a court of competent jurisdiction, or any governmental or regulatory authority.
  • You may disclose such information to any other person if you have the prior written consent of the disclosing party.

Unless otherwise agreed in writing, you undertake not to use any information you receive through Una for any purpose other than considering, evaluating or performing activities reasonably connected with your permitted use of the Services.

You acknowledge and agree that, in the event of a breach of your confidentiality obligations, damages alone may not be an adequate remedy. Accordingly, we may seek an order for specific performance, injunctive relief or other equitable remedy for any threatened or actual breach of confidentiality. This is without prejudice to any other rights or remedies available against you in the event of a breach.

You also acknowledge and accept that any user, organisation, or opportunity you interact with or gain access to through Una has been made available to you by us, and you shall not attempt to engage with them, directly or indirectly, in a manner that circumvents Una or ExpectAI. You undertake not to induce, solicit, procure or otherwise encourage any third party to engage with any user outside of Una.

You will procure that your officers, employees, agents, advisers and other representatives comply fully with this confidentiality section.

Severance and Termination

If any part of these Terms is or becomes invalid, illegal or unenforceable, it shall be modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant part shall be deemed deleted. Any modification to, or deletion of, a part of these Terms under this section shall not affect the validity and enforceability of the rest of these Terms.

If these Terms are terminated for any reason, such termination shall not affect any rights, remedies, obligations or liabilities that have accrued up to the date of termination, including the right to claim damages for any breach of the Terms which existed at or before the date of termination.

Where To Send Notices

Any notice shall be in writing and addressed to the other party at its then-current registered office, if delivered personally or sent by recorded delivery, or to the email address specified in these Terms.

If a notice is delivered by personal delivery, it will be deemed to have been delivered on the day of delivery if delivered before 4.00pm on a working day; otherwise, it will be deemed delivered on the next working day.

If a notice is sent by recorded delivery, it will be deemed delivered on the working day following receipt.

If a notice is sent by email, it will be deemed delivered on the day it is sent, provided it is sent and received before 4.00pm on a working day; otherwise, it will be deemed delivered on the next working day.

Can You Assign These Terms?

You shall not assign, transfer, sub-contract or deal with any of your rights and obligations under these Terms. We may assign, transfer, sub-contract or deal with all or any of our rights and obligations at any time without your consent.

User Obligations

  • You are solely responsible for your Service use and all content you contribute.
  • You agree to comply with all applicable laws and regulations in your use of the Service.
  • You will not:some text
    • Infringe on the intellectual property rights of any third party.
    • Use the Service for any illegal or unauthorised purpose.
    • Disrupt or interfere with the security or functionality of the Service.
    • Transmit any harmful or offensive content through the Service.
    • Impersonate any person or entity.

Content Ownership

  • We retain all ownership rights to the Service, including its underlying technology, content, and data (excluding user data).
  • Trademarks: The ExpectAI name, logo, and any other trademarks displayed on the are trademarks owned by ExpectAI. You may not use these trademarks without the prior written permission of ExpectAI.

Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

Disclaimers

General Disclaimers

The Service is provided "as is" and without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

Disclaimer on Data Accuracy:

We strive to provide accurate and up-to-date information through the Service. However, we cannot guarantee the accuracy, completeness, or reliability of the information provided. Users acknowledge that:

  • Public Data Sources: We leverage data from reputable public sources relevant to company, industry, climate and emissions. We strive for transparency and disclose the sources of this data on our website. Public data may contain errors or inaccuracies. While we implement measures to identify and mitigate these issues, we cannot guarantee absolute accuracy or completeness.
  • The data presented through the Service may be derived from various sources and may not always reflect real-time or current information.
  • We do not verify the accuracy of user-contributed content or third-party data sources.

Transparency and Right to Reply

We are committed to transparency in our data collection, processing, and profile generation methods.  This information is available on our website.

We also recognize the importance of company participation in ensuring profile accuracy.  Companies can contact us to review their profile and, where necessary, provide additional data to refine the estimations.

Limitation of Liability

We shall not be liable for any damages arising out of your use of the Service, including but not limited to, direct, indirect, incidental, consequential, or punitive damages.

Indemnification

You agree to indemnify, defend, and hold harmless Expect AI Ltd. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Service or your violation of these Terms.

Termination
